Frasers Group has acquired Harvey Nichols from FTI Consulting LLP, bringing one of the UK’s most established luxury retailers into its portfolio.

The acquisition includes Harvey Nichols’ six-store UK portfolio, comprising its recently refurbished Knightsbridge flagship in London and stores in Manchester, Birmingham, Bristol, Leeds and Edinburgh. The transaction also includes the retailer’s online business, existing inventory and more than 1,000 employees.

Harvey Nichols’ international franchise agreements also form part of the transaction, with international franchise stores continuing to trade under their existing licensing arrangements.

Certain assets at the Dublin store, including stock and store fixtures, have been acquired as part of the transaction. Discussions concerning the business remain ongoing, with Frasers Group continuing to support trading operations at the Dublin store.

The OXO Restaurant is excluded from the transaction and has been sold to another buyer.

The sale was implemented following the appointment of FTI Consulting LLP as administrators.

Restructuring and Integration Planned

Frasers Group said Harvey Nichols has faced sustained trading and operational challenges in recent years and that significant restructuring and integration into the wider group will be required.

This will include a review and rationalisation of the store portfolio, organisational structure, operating model and cost base, with the aim of creating a more sustainable business.

The acquisition builds on Frasers Group’s Elevation Strategy and strengthens its luxury portfolio alongside FLANNELS, The Webster and HULCAN’s MILE.

Frasers Group said the addition of Harvey Nichols will also deepen its relationships with luxury brands including Gucci, Moncler, Burberry, Prada and Dior. Frasers Group and Harvey Nichols said they are committed to supporting their brand partners and maintaining those relationships during the transition.

All stores acquired by Frasers Group will continue to trade until further notice. International franchise stores will continue under their existing licensing arrangements, while Frasers Group continues to support trading operations at the Dublin store.
